Listo — TERMS OF SERVICE

1. ACCEPTANCE OF TERMS

   By creating an account or using Listo ("Service"), operated by
   Vertatec ("Company," "we," "us"), you agree to these Terms of
   Service. If you do not agree, do not use the Service.

2. DESCRIPTION OF SERVICE

   Listo is a field service management platform that provides job
   scheduling, route optimization, client management, invoicing,
   quoting, time tracking, team management, and payment processing
   tools for service-based businesses.

3. ACCOUNTS & ELIGIBILITY

   - You must be at least 18 years old and able to form a binding
     contract.
   - You are responsible for maintaining the confidentiality of your
     account credentials.
   - Organization owners are responsible for the actions of all users
     they invite to their organization.
   - You agree to provide accurate and current information.

4. SUBSCRIPTION & BILLING

   a) Listo Pro Subscription
      - Listo Pro is available at $29.99/month and may include a
        free trial period.
      - Subscriptions auto-renew monthly unless cancelled before the
        end of the current billing period.
      - For iOS users, subscriptions are managed through your Apple
        ID via the App Store. Cancellation takes effect at the end
        of your billing period.
      - For web users, subscriptions are managed through Stripe.
        You may cancel or update your payment method via the billing
        portal in Settings.

   b) Refunds
      - Subscription fees are non-refundable except as required by
        applicable law or at Company's sole discretion.

5. PAYMENT PROCESSING FEES

   a) Stripe Connect
      - Listo enables you to accept payments from your clients
        through Stripe Connect.
      - A platform fee of 2% per transaction (capped at $20.00 USD
        per transaction) is applied by Listo on all payments
        processed through the platform. This fee is in addition to
        Stripe's standard processing fees.
      - The platform fee is automatically deducted from your Stripe
        payouts.
      - By connecting your Stripe account through Listo, you
        acknowledge and agree to this fee structure.
      - Stripe's own terms of service (https://stripe.com/legal)
        also apply to your use of payment processing.

   b) Fee Changes
      - We reserve the right to modify fee structures with 30 days'
        written notice via email to the organization owner's
        registered email address.

6. ACCEPTABLE USE

   You agree not to:
   - Use the Service for any unlawful purpose
   - Attempt to gain unauthorized access to any part of the Service
   - Interfere with or disrupt the Service's infrastructure
   - Upload malicious code or content
   - Resell or redistribute access to the Service without
     authorization
   - Use the Service to send unsolicited communications to
     individuals who have not consented

7. YOUR DATA

   a) Ownership
      - You retain ownership of all data you input into Listo
        (client records, job details, invoices, etc.).

   b) License
      - You grant Listo a limited license to process your data
        solely to provide and improve the Service.

   c) Data Deletion
      - Organization owners may request deletion of all
        organization data through Settings. This action is
        irreversible.
      - Upon account termination, we will retain your data for
        30 days, after which it will be permanently deleted
        unless legally required to retain it.

   d) Backups
      - While we maintain reasonable backups, you are responsible
        for exporting and maintaining your own copies of critical
        business data.

8. THIRD-PARTY INTEGRATIONS

   - Listo integrates with third-party services including Stripe
     and QuickBooks Online.
   - Your use of these integrations is subject to the respective
     third-party terms of service.
   - Listo is not responsible for the availability, accuracy, or
     functionality of third-party services.

9. SMS COMMUNICATIONS

   Program Name: Listo Account Notifications

   - Listo uses SMS messages to deliver one-time passcodes (OTP),
     security alerts, and essential account-related notifications.
   - Message frequency varies based on login and account activity.
   - Reply STOP to cancel SMS messages at any time.
   - Reply HELP for assistance or contact support@vertatec.com.
   - Message and data rates may apply.
   - We do not share or sell phone numbers for marketing purposes.

10. INTELLECTUAL PROPERTY

    - The Service, including its design, code, features, and
      branding, is the property of Vertatec and is protected by
      applicable intellectual property laws.
    - These Terms do not grant you any rights to our trademarks,
      logos, or branding.

11. LIMITATION OF LIABILITY

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, LISTO AND VERTATEC
    SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL,
    CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED
    TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING
    FROM YOUR USE OF THE SERVICE.

    OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS
    SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS
    PRECEDING THE CLAIM.

12. DISCLAIMER OF WARRANTIES

    THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT
    WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING
    BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY,
    FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. INDEMNIFICATION

    You agree to indemnify and hold harmless Vertatec, its
    officers, directors, and employees from any claims, damages,
    or expenses arising from your use of the Service or violation
    of these Terms.

14. TERMINATION

    - You may terminate your account at any time by cancelling
      your subscription and contacting support@vertatec.com.
    - We may suspend or terminate your access if you violate
      these Terms, with or without notice.
    - Upon termination, your right to use the Service ceases
      immediately. Sections 7, 11, 12, and 13 survive
      termination.

15. MODIFICATIONS TO TERMS

    We may update these Terms from time to time. Material changes
    will be communicated via email or in-app notification at least
    30 days before they take effect. Continued use of the Service
    after changes take effect constitutes acceptance of the
    updated Terms.

16. GOVERNING LAW

    These Terms are governed by the laws of Georgia, US,
    without regard to conflict of law principles. Any disputes
    shall be resolved in the courts of [your jurisdiction].
